Terms of Service

1. Scope of Work
Every engagement begins with a written scope document — never verbal. The scope defines deliverables, timeline, milestones, and revision rounds. Both parties sign before work begins. Anything outside the agreed scope is handled as a separate engagement or change order.
2. Payment Terms
50% advance is required to begin any project. The remaining 50% is due upon delivery and client approval. For monthly retainers, billing occurs in advance at the start of each month with a 3-month minimum commitment. Late payments beyond 15 days accrue interest at 2% per month. We accept UPI, NEFT, and Razorpay for Indian clients; Stripe and wire transfer for international clients.
3. Intellectual Property
Upon full payment, all deliverables — code, models, prompts, configurations, documentation — become your property. You receive full access to repositories and API keys. We retain no ownership or usage rights over client-specific work. We may reference the project in our portfolio (with your consent) and use anonymized metrics in case studies.
4. Revisions
Each project includes the revision rounds specified in the scope document. Revisions beyond this are billed at our standard hourly rate. A revision is defined as a change to a delivered item within the original scope. Feature additions or scope changes are not revisions — they are change orders.
5. Timeline
Timelines in the scope document are estimates based on the information available at signing. Delays caused by client inaction (missed review windows, delayed content, late feedback) extend the timeline accordingly. We communicate proactively if any timeline is at risk.
6. Confidentiality
We treat all client data, business information, and project details as confidential. We do not share, sell, or disclose client information to third parties. Upon request, we sign a mutual NDA before any detailed discussions begin.
7. Limitation of Liability
Our liability is limited to the total fees paid for the specific project or service in question. We are not liable for indirect, consequential, or incidental damages. We carry professional indemnity appropriate to the engagement.
8. Termination
Either party may terminate with 14 days written notice. Upon termination, the client pays for all work completed up to the termination date. Any advance payment for uncompleted work is refunded within 14 days. Retainer agreements require 30 days notice for cancellation after the minimum term.
9. GST & Compliance
CodrantLabs is a GST-registered firm in India. All invoices to Indian clients include applicable GST. International clients are invoiced without GST under export of service provisions with a valid Letter of Undertaking (LUT).
